2.Definitions
For these Terms:
- “Buyer” means a retailer, business, brand or other approved user purchasing products or services through Procur.
- “Seller” means a manufacturer, wholesaler, distributor, supplier, brand or other approved business listing or supplying products through Procur.
- “User” means any person or organisation accessing or using Procur, including buyers, sellers, brands, creators and service clients.
- “Platform” means the Procur website, applications, dashboards, software and related digital services.
- “Marketplace Order” means an order placed by a buyer for products listed by a third-party seller.
- “Services” include marketplace access, warehousing, inventory management, fulfilment, logistics, Qyuick delivery, Creator Connect and other services offered by Procur.
- “Qyuick Delivery” means Procur’s eligible rapid-delivery service using Procur’s or its partners’ delivery fleet, including electric vehicles where available.
- “Content” includes product listings, photographs, descriptions, prices, reviews, messages, documents, artwork, videos and other material submitted to Procur.
3.Eligibility
You must be at least 18 years old and legally competent to enter into a binding contract.
Users registering on behalf of an organisation must have the authority to represent and bind that organisation.
Procur may require:
- Identity and address verification.
- GSTIN, PAN and business-registration information.
- Bank account or payment details.
- Relevant licences, certificates or authorisations.
- Proof of authority to represent a business.
- Additional KYC or compliance documents.
Procur may reject, restrict or suspend registration if the information is incomplete, inaccurate, misleading or cannot be verified.
4.Business-to-Business Platform
Procur primarily facilitates business-to-business transactions.
Buyers are responsible for evaluating:
- Product descriptions and specifications.
- Prices and applicable taxes.
- Minimum order quantities.
- Size, colour and product assortments.
- Seller details.
- Product suitability.
- Delivery estimates.
- Return and warranty conditions.
5.Procur’s Role
Depending on the service or transaction, Procur may act as:
- A marketplace intermediary connecting sellers and buyers.
- A technology platform.
- A warehousing or fulfilment service provider.
- A logistics coordinator or delivery provider.
- A Creator Connect facilitator.
- A direct seller or contracting service provider where expressly identified.
For a marketplace order supplied by a third-party seller, the contract for the sale of products is generally between the seller and the buyer.
The seller remains responsible for:
- Product legality and authenticity.
- Product quality and safety.
- Listing accuracy.
- Pricing and tax information.
- Stock availability.
- Required labels and disclosures.
- Invoices and warranties.
- Accepted returns, replacements and refunds.
Procur may assist with communication, payments, fulfilment, delivery and dispute resolution. Such assistance does not automatically make Procur the manufacturer or seller of a third-party product.
Where Procur is expressly identified as the direct seller or service provider, Procur will be responsible according to the applicable order or service terms.
6.User Accounts
Users must provide accurate, complete and current information.
Users are responsible for:
- Maintaining the confidentiality of passwords and OTPs.
- Restricting access to registered devices and accounts.
- All authorised activity performed through their accounts.
- Promptly updating business, tax, bank and contact information.
- Immediately reporting suspected unauthorised access.
Users must not:
- Create false, duplicate or misleading accounts.
- Impersonate another person or organisation.
- Share OTPs or login credentials with unauthorised persons.
- Use another user’s account without permission.
- Attempt to avoid account restrictions.
Procur may treat instructions received through a verified account as authorised unless notified of unauthorised access.
7.Seller and Manufacturer Obligations
Every seller must:
- Maintain all registrations, licences and permissions required for its business.
- Supply genuine, lawful and commercially saleable products.
- Provide accurate product titles, descriptions, photographs and specifications.
- Display accurate prices, taxes, minimum order quantities and stock information.
- Comply with labelling, packaging, safety and product-specific requirements.
- Issue legally compliant tax invoices.
- Honour accepted orders and applicable warranties.
- Pack products appropriately for storage and transportation.
- Respond to complaints, return requests and regulatory enquiries.
- Avoid counterfeit, stolen, prohibited or intellectual-property-infringing products.
- Notify Procur promptly of recalls, safety issues or legal restrictions.
Sellers must not manipulate listings, orders, ratings, reviews, prices or marketplace promotions.
Procur may review, suspend or remove a seller or listing for non-compliance.
8.Buyer and Retailer Obligations
Every buyer must:
- Provide accurate billing, GST and delivery information.
- Review product details before placing an order.
- Verify size, quantity, colour, specifications and minimum order quantity.
- Make payments within the applicable period.
- Remain available to receive deliveries.
- Inspect delivered products within the applicable reporting period.
- Store and handle products according to their requirements.
- Use purchased products lawfully.
- Pay valid warehousing, fulfilment, delivery and return charges.
- Avoid fraudulent orders, false claims and payment disputes.
Buyers are responsible for purchasing decisions based on information made available before placing an order.
9.Product Listings
Product photographs may appear different because of screen settings, lighting, production batches, materials or photography.
Sellers must accurately disclose material product characteristics. Minor variations that do not materially change the product’s intended use will not automatically constitute a defect.
Procur may edit listing formatting, categories or presentation for clarity without materially changing the seller’s product claims.
Procur may remove a listing that:
- Violates applicable law.
- Contains misleading information.
- Infringes third-party rights.
- Presents a safety or reputational risk.
- Violates Procur policies.
- Is no longer available.
10.Orders and Acceptance
Placing an order constitutes an offer to purchase.
An order is accepted only when:
- The seller or Procur confirms acceptance.
- The required payment or approved credit condition is satisfied.
- Any necessary verification is completed.
An order acknowledgement does not always constitute final acceptance.
Procur or the seller may limit order quantities, split an order, request additional verification or reject an order for legitimate operational, legal, payment or inventory reasons.
11.Pricing and Taxes
Product and service prices will be displayed or provided through listings, quotations, rate cards, invoices or agreements.
Unless expressly stated otherwise, prices may exclude:
- GST and other applicable taxes.
- Packaging and handling charges.
- Delivery and reverse-logistics charges.
- Insurance.
- Payment gateway or convenience charges.
- Warehousing and fulfilment charges.
- Customisation or installation charges.
Users are responsible for applicable tax reporting, withholding, deductions and statutory compliance.
Obvious pricing, tax, inventory or technical errors may be corrected. An affected order may be cancelled, and the eligible prepaid amount will be refunded.
12.Payments and Settlements
Payments may be processed using authorised third-party payment providers.
Users agree to comply with the payment provider’s applicable terms and verification requirements.
Procur may:
- Collect payment on behalf of a seller.
- Deduct agreed commissions, fees, taxes, refunds or adjustments.
- Hold a payment while investigating fraud, disputes or compliance concerns.
- Release seller settlements according to the applicable settlement cycle.
- Adjust future settlements for approved refunds, chargebacks or outstanding amounts.
Payment timelines may be affected by banking holidays, provider delays, regulatory reviews or verification requirements.
13.Credit and Overdue Payments
Credit facilities, if offered, are subject to separate approval and commercial terms.
Procur may change, reduce or withdraw a credit limit based on payment history, risk or business conditions.
Late or unpaid amounts may result in:
- Interest or late-payment charges where agreed.
- Suspension of orders or services.
- Withholding of inventory or settlements where legally permitted.
- Recovery expenses.
- Account restriction or termination.
- Legal recovery proceedings.
14.Order Cancellation
Buyer cancellations are governed by the Refund, Return and Cancellation Policy.
A cancellation request may be denied after seller acceptance, procurement, custom production, picking, packing or dispatch has begun.
Procur or the seller may cancel an order due to:
- Product unavailability.
- Pricing or listing error.
- Failed verification.
- Payment failure.
- Fraud concerns.
- Delivery restrictions.
- Legal or regulatory requirements.
- Operational circumstances.
- Force majeure events.
Eligible prepaid amounts will be refunded according to the Refund Policy.
15.Returns, Replacements and Refunds
All returns, replacements, credits and refunds are governed by:
- Procur’s Refund, Return and Cancellation Policy.
- Product-specific terms displayed before purchase.
- Seller warranty conditions.
- Applicable service agreements.
- Rights that cannot legally be excluded.
A return request does not guarantee approval.
Users must submit requests within the relevant reporting period and provide reasonable evidence.
16.Warehousing Services
Warehousing services may include:
- Inventory receiving.
- Quality or quantity checks.
- Storage.
- Inventory recording.
- Picking and packing.
- Dispatch.
- Returns processing.
- Reporting and reconciliation.
Detailed pricing, minimum commitments, service levels, insurance, liability and operating procedures may be specified in a quotation, rate card, service order or separate agreement.
Clients must accurately declare:
- Product type and quantity.
- Product value.
- Dimensions and weight.
- Storage conditions.
- Shelf life or expiry information.
- Hazardous or regulated characteristics.
- Handling requirements.
Procur may refuse products that are illegal, hazardous, unsafe, prohibited, perishable without approval, incorrectly declared or unsuitable for the facility.
17.Inventory Records and Reconciliation
Inventory records may be based on receiving scans, SKU information, warehouse movements, dispatch records, return records and physical audits.
Clients must promptly report discrepancies.
Procur may adjust system inventory following a verified physical audit or investigation.
Claims for inventory loss or damage will be assessed according to:
- The applicable service agreement.
- Verified records.
- Declared product value.
- Insurance coverage.
- Packaging and handling requirements.
- Contractual exclusions and liability limits.
18.Fulfilment Services
Clients must provide correct order, SKU, packaging, customer and delivery information.
Procur is not responsible for errors resulting from:
- Incorrect product data supplied by the client.
- Incorrect delivery details.
- Inadequate or defective product packaging.
- Product defects.
- Incorrect barcodes or labels.
- Delayed inventory replenishment.
- Third-party system failures outside Procur’s reasonable control.
Rework, relabelling, repacking, return processing and special-handling services may attract additional charges.
19.Delivery Services
Delivery dates and times are estimates unless a written service-level commitment expressly states otherwise.
Delivery may be affected by:
- Seller preparation time.
- Inventory availability.
- Pickup and destination locations.
- Product size and weight.
- Traffic and road conditions.
- Weather.
- Recipient availability.
- Regulatory or security restrictions.
- Events beyond reasonable control.

20.Qyuick 30-Minute Delivery
Qyuick delivery is available only for eligible:
- Products.
- Orders.
- Weight and size limits.
- Fulfilment locations.
- Delivery zones.
- Operating hours.
- Payment methods.
- Road, traffic, weather and safety conditions.
The 30-minute period begins only after:
- The order and payment are confirmed.
- The product is available at an eligible fulfilment location.
- The order is packed and marked ready for Qyuick dispatch.
- A delivery partner is assigned.
Unless expressly guaranteed at checkout, 30 minutes is a service target and not an absolute delivery guarantee.
21.Failed Delivery
A delivery may be treated as unsuccessful when:
- The recipient cannot be contacted.
- The recipient is unavailable.
- The address is incorrect, incomplete or inaccessible.
- Entry or delivery permission is denied.
- The recipient refuses an otherwise compliant shipment.
- The permitted waiting time is exceeded.
- Delivery would create an unreasonable safety risk.
Additional delivery, return-to-origin, storage or re-delivery charges may apply where the failure is attributable to the buyer or recipient.
22.Risk and Title
Risk and ownership of marketplace products will transfer according to the applicable seller’s sale terms, invoice, delivery terms or separate agreement.
Where no separate term is provided, risk will ordinarily transfer upon confirmed delivery to the buyer or authorised recipient.
A payment or settlement arrangement does not automatically transfer ownership before the applicable sale conditions are satisfied.
23.Creator Connect
Creator Connect enables creators and businesses to discover potential collaboration opportunities.
Unless expressly agreed otherwise:
- Procur acts only as a facilitator.
- Participation does not guarantee selection, payment or a minimum number of projects.
- Collaboration scope, fees, deliverables, timelines and usage rights must be agreed separately.
- Creators must provide accurate profile, audience and performance information.
- Brands must provide lawful briefs and clear disclosure requirements.
- Sponsored content must comply with applicable advertising and disclosure rules.
Procur is not a party to an independent creator-brand agreement unless expressly identified in writing.
24.User Content
Users retain ownership of content they submit, subject to these Terms.
By uploading content, the user grants Procur a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display and distribute that content only as reasonably necessary to:
- Operate the platform.
- Display listings or profiles.
- Promote the applicable seller, product, creator or Procur service.
- Provide support and prevent misuse.
Users confirm that:
- They own the content or have permission to use it.
- The content is accurate and lawful.
- The content does not infringe privacy, intellectual-property or other rights.
- Required consents and disclosures have been obtained.
25.Ratings, Reviews and Feedback
Reviews must reflect genuine experiences and must not be false, abusive, defamatory, incentivised without disclosure or manipulated.
Procur may remove reviews that violate platform policies without changing legitimate criticism solely because it is negative.
Suggestions and general feedback may be used to improve Procur without creating a payment obligation.
26.Intellectual Property
The Procur name, logo, website, applications, software, interface, designs, graphics and original content are owned by or licensed to Oneoto India.
No user may:
- Copy or commercially exploit the platform without permission.
- Use Procur branding in a misleading manner.
- Reverse engineer platform software except where legally permitted.
- Remove copyright, trademark or ownership notices.
- Register confusingly similar names, domains or marks.
Permitted use of the platform does not transfer intellectual-property ownership to the user.
27.Prohibited Products and Activities
Users must not use Procur to:
- Sell counterfeit, stolen, illegal, unsafe or prohibited products.
- Infringe intellectual-property rights.
- Commit fraud or money laundering.
- Manipulate prices, orders, reviews or promotions.
- Submit false refund, shortage or damage claims.
- Scrape or harvest platform data without permission.
- Introduce malware or harmful code.
- Attempt unauthorised access.
- Interfere with platform operation or security.
- Harass users or employees.
- Bypass Procur to avoid agreed commissions or service charges.
- Violate applicable laws or third-party rights.
Procur may report suspected unlawful conduct to the appropriate authorities.
28.Confidentiality
Users may receive non-public commercial, technical, pricing, inventory or business information through Procur.
Such information must:
- Be used only for the relevant transaction or service.
- Be protected using reasonable safeguards.
- Not be disclosed without authorisation.
- Not be used to harm or unfairly compete with another user.
This obligation does not apply to information already lawfully public or required to be disclosed by law.
29.Privacy and Data Protection
Information is handled according to Procur’s Privacy Policy and applicable law.
Users receiving another party’s information through Procur may use it only for:
- Completing the relevant transaction.
- Providing an authorised service.
- Meeting a legal obligation.
- Another purpose expressly authorised by that party.
Users must not use transaction information for unsolicited marketing or unauthorised data collection.
30.Third-Party Services
Procur may integrate with payment providers, banks, cloud platforms, communication services, maps, analytics tools and logistics partners.
Third-party services may be governed by their own terms and policies.
Procur is not responsible for third-party failures or acts outside Procur’s reasonable control, but will make reasonable efforts to assist where the third-party service is part of a Procur transaction.
31.Platform Availability
Procur may perform maintenance, updates and security changes.
The platform may occasionally be unavailable because of:
- Planned maintenance.
- Technical problems.
- Internet or telecommunications failures.
- Third-party outages.
- Security incidents.
- Events outside reasonable control.
Procur does not guarantee uninterrupted or error-free access but will take reasonable steps to maintain platform availability.
32.Suspension and Termination
Procur may restrict, suspend or terminate access for:
- Material breach of these Terms.
- Fraud or suspected unlawful activity.
- Repeated complaints.
- Sale of prohibited or counterfeit products.
- Non-payment.
- Failed verification.
- Security risk.
- Misuse of the platform.
- Legal or regulatory requirements.
Where reasonable and legally permitted, Procur may provide notice and an opportunity to address the issue.
Termination does not cancel outstanding orders, payments, liabilities or obligations accrued before termination.
33.Disclaimer
Procur provides the platform and services on an “as available” basis, subject to applicable law.
When Procur acts only as a marketplace intermediary:
- Procur does not manufacture third-party products.
- Procur does not independently guarantee every seller statement.
- Buyers must evaluate product and seller information.
- Sellers remain responsible for their products and listings.
Procur does not guarantee specific sales, profit, business growth, creator selection, uninterrupted platform availability or resale performance.
34.Limitation of Liability
To the maximum extent permitted by applicable law, Procur and Oneoto India will not be liable for indirect, incidental, special or consequential losses, including loss of profit, goodwill, opportunity, business, anticipated savings or data.
Where Procur is liable for a specific transaction or service, aggregate liability will ordinarily not exceed the amount paid directly to Procur for the product or service giving rise to the claim during the three months immediately preceding the event.
A different liability cap may apply where stated in a signed agreement.
Nothing in these Terms limits liability that cannot legally be limited, including liability resulting from fraud, wilful misconduct or another legally non-excludable obligation.
35.Indemnity
To the extent permitted by law, users agree to indemnify Oneoto India and Procur against third-party claims, losses, penalties and reasonable expenses resulting from:
- Products supplied or listed by the user.
- Unlawful user conduct.
- Breach of these Terms.
- Tax or regulatory non-compliance.
- Intellectual-property infringement.
- Misleading content.
- Injury or damage caused by a user’s product.
- Fraud or misuse of the platform.
The indemnified party must take reasonable steps to mitigate avoidable loss.
36.Force Majeure
Neither party will be responsible for delay or failure caused by events beyond reasonable control, including:
- Natural disasters.
- Extreme weather.
- Flood, fire or epidemic.
- War or civil disturbance.
- Strikes or transport disruption.
- Government restrictions.
- Road closures.
- Power, internet or telecommunications failures.
- Regulatory intervention.
The affected party must make reasonable efforts to reduce the impact and resume performance.
37.Electronic Communications
Users agree to receive contractual and transactional communications electronically through:
- Email.
- SMS.
- WhatsApp.
- Push notifications.
- Account dashboards.
- Other registered communication channels.
Electronic records, confirmations and communications may be used as evidence of a transaction to the extent permitted by law.
Marketing communications may be managed according to the Privacy Policy.
38.Changes to Services or Terms
Procur may update its services, fees, policies or these Terms to reflect operational, commercial, security or legal changes.
The revised Terms will be published with an updated effective date.
Material changes may also be communicated through the platform or registered contact details.
Changes will not ordinarily alter an already accepted order retrospectively unless required by law or agreed by the affected parties.
39.Governing Law
These Terms are governed by the laws of India.
Any rights available under mandatory applicable law will remain unaffected.
40.Dispute Resolution
Users should first contact Procur and attempt to resolve a dispute through good-faith negotiation.
If a commercial dispute cannot be resolved through negotiation, it may be referred to arbitration under the Arbitration and Conciliation Act, 1996.
The arbitration will:
- Be conducted by a sole arbitrator mutually appointed by the parties.
- Be conducted in English.
- Have Bengaluru, Karnataka as its seat and venue.
- Be conducted according to applicable Indian law.
If the parties cannot mutually appoint an arbitrator, appointment will be handled according to applicable law.
Subject to applicable law and the arbitration provision, courts in Bengaluru, Karnataka will have jurisdiction.
41.Severability
If any provision of these Terms is held invalid or unenforceable, it will be modified or removed only to the minimum extent necessary.
The remaining provisions will continue in effect.
42.No Waiver
Failure to enforce a provision immediately does not waive the right to enforce it later.
A waiver is effective only when made in writing by an authorised representative.
43.Assignment
Users may not transfer their rights or obligations under these Terms without written permission from Procur.
Procur may transfer its rights and obligations as part of a merger, restructuring, financing, sale of business or transfer to an affiliated or successor entity, subject to applicable law.
44.Entire Agreement
These Terms, together with Procur’s policies, accepted order terms, quotations, rate cards and signed service agreements, constitute the agreement governing the relevant service.
Where a signed agreement expressly conflicts with these general Terms, the signed agreement will apply to that specific service or transaction.
